Terms of Sale and Website Use

These Terms of Sale and Website Use (the “Terms”) form a binding agreement between you and Vytal Peptides LLC (“Vytal Peptides,” “we,” “us,” or “our”), and govern your access to vytal-peptides.com (the “Site”) and your purchase of any product from us.
By accessing the Site, creating an account, or placing an order, you accept these Terms. If you do not accept them, do not use the Site and do not place an order.
These Terms contain a binding arbitration provision and a class action waiver in Section 17. They affect how disputes between you and us are resolved.
Please read Section 17 carefully.
1. Research Use Only
All products sold by Vytal Peptides are supplied solely as laboratory reagents for in vitro research and analytical use by qualified persons.
Our products are not drugs, dietary supplements, foods, cosmetics, or medical devices.
They are not intended for, and may not be used for:
- administration to humans, by any route;
- administration to animals, by any route;
- diagnosis, treatment, cure, mitigation, or prevention of any disease or condition;
- clinical, therapeutic, cosmetic, or personal use of any kind;
- compounding, repackaging, or incorporation into any product intended for human or animal use.
No product sold by Vytal Peptides has been evaluated or approved by the U.S. Food and Drug Administration or by any comparable authority for use in humans or animals. Some products are investigational compounds that are not approved for any use in any jurisdiction.
Nothing on the Site is medical advice, clinical guidance, or a dosing recommendation.
If you are seeking treatment, consult a licensed healthcare professional.
2. Eligibility and Buyer Representations
We sell only to qualified research buyers. A qualified research buyer is a research institution or university, a hospital or clinical research laboratory, a commercial or contract research organization, a government or public health laboratory, or an independent research team or business with the facilities, training, and procedures necessary to conduct in vitro research safely.
We do not sell to individuals purchasing for personal use. To purchase from Vytal Peptides you must also be at least 21 years of age.
We may request information about your institution, organization, facility, or research context before accepting an order, and we may decline, cancel, refund, or refuse to fulfil any order that does not meet these criteria.
Each time you place an order, you represent and warrant that:
- you are at least 21 years of age;
- you are purchasing on behalf of a research institution, laboratory, or organization, and not as an individual for personal use;
- you are acquiring the product solely for lawful in vitro research or analytical use;
- you are not acquiring the product for administration to yourself or to any other person or animal, and you will not administer it or permit it to be administered;
- you will not resell, relabel, repackage, redistribute, or transfer the product to any third party without our prior written authorization;
- you will handle, store, transport, and dispose of the product in accordance with all applicable laws, regulations, and institutional requirements;
- all information you provide to us, including your identity, your institution or organization, your shipping address, and your stated research purpose, is accurate and complete; and
- your purchase, possession, and use of the product is lawful in your jurisdiction.
These representations are material to our decision to accept your order. An order placed in breach of them is void, and we may cancel it and close your account.
3. Order Acceptance
Your submission of an order is an offer to purchase. We are not obligated to accept it. No contract is formed until we ship the product to you, and our acceptance is limited to the products actually shipped.
We may refuse, limit, hold, or cancel any order, in whole or in part, at our discretion, including where:
- a product is unavailable or the listing contained an error;
- pricing or promotional information was displayed incorrectly;
- we suspect fraud, unauthorized payment, or account misuse;
- the order information is incomplete, inconsistent, or unverifiable;
- the destination is one to which we do not ship or to which shipment would be unlawful;
- the buyer does not appear to meet the qualified research buyer criteria in Section 2, including where the order pattern, quantity, or delivery address is inconsistent with institutional research use; or
- we have reason to believe the order is not consistent with Section 1 or Section 2.
Where we cancel an order after payment, we will refund the amount charged for the cancelled items.
4. Prices, Payment, and Taxes
Prices are stated in U.S. dollars and exclude shipping, handling, duties, and taxes unless expressly stated otherwise. Prices, promotions, and availability may change without notice.
Payment is authorized and charged at the time you place your order. By submitting payment information you represent that you are authorized to use the payment method and you authorize us and our payment processors to charge the total order amount.
We may correct pricing and listing errors at any time. If a corrected price applies to an unfulfilled order, we will contact you and give you the choice of proceeding at the corrected price or cancelling for a full refund.
You are responsible for all applicable sales, use, excise, import, and similar taxes and duties, and for address-correction and reconsignment charges arising from information you provided.
We do not store complete payment card numbers on our systems. Payment card data is handled by our payment processors under their own terms.
5. Shipping and Risk of Loss
Shipping terms, processing times, delivery windows, and destination restrictions are set out in our Shipping Policy, which is incorporated into these Terms.
Delivery estimates are estimates only and are not guaranteed. Title and risk of loss pass to you when the carrier takes possession of the shipment, subject to any shipping protection you purchased at checkout.
You are responsible for providing a complete and accurate delivery address and for ensuring that someone is able to receive and appropriately store the shipment on arrival.
6. Returns and Refunds
Because our products are temperature-sensitive laboratory reagents whose chain of custody cannot be verified once they leave our control, all sales are final except as set out in our Refund and Returns Policy, which is incorporated into these Terms.
Claims for shipments that arrive damaged, incomplete, or incorrect must be submitted within the window stated in that policy. Products that have been opened, reconstituted, altered, or removed from their sealed packaging cannot be returned under any circumstances.
7. Product Information, Testing, and Specifications
We take reasonable care to describe our products accurately, including purity specifications and Certificates of Analysis where these are made available.
Certificates of Analysis describe the specific batch tested and do not constitute a warranty of performance in any particular assay, protocol, or application. Product appearance, packaging, batch, and specifications may change without notice.
You are responsible for independently verifying that a product is suitable for your intended research use and for establishing your own controls, validation, and safety procedures.
If a product you receive does not correspond to the documentation supplied with your order, contact us at info@vytal-peptides.com promptly so we can investigate.
8. Handling and Safety
Laboratory reagents must be handled only by trained personnel using appropriate engineering controls, personal protective equipment, and institutional safety procedures.
You are solely responsible for determining and applying appropriate storage conditions, handling procedures, containment measures, and disposal methods for the products you purchase, and for complying with all applicable occupational safety and wastedisposal requirements.
9. Prohibited Conduct
You may not:
- use the Site or any product for any unlawful purpose;
- administer any product to a human or animal, or supply it to another person for that purpose;
- resell, redistribute, relabel, or repackage our products without prior written authorization;
- represent our products as approved drugs, medicines, supplements, or treatments;
- misrepresent your identity, eligibility, or intended use;
- interfere with, probe, scrape, overload, or attempt to gain unauthorized access to the Site or its systems; or
- use the Site in a way that violates the rights of any third party.
We may suspend or terminate your account and refuse future orders for any breach of this Section.
10. Accounts
You are responsible for maintaining the confidentiality of your account credentials and for all activity conducted through your account. Notify us immediately at info@vytalpeptides.com if you believe your account has been compromised.
We may suspend, restrict, or close any account at our discretion, including where we have concerns about eligibility, accuracy of information, fraud, or compliance.
11. Intellectual Property
The Site and its contents, including text, product descriptions, photographs, graphics, logos, page design, and software, are owned by or licensed to Vytal Peptides and are protected by copyright, trademark, and other laws.
You may view and use the Site for its intended purpose. You may not copy, reproduce, modify, distribute, publish, sell, scrape, or create derivative works from Site content without our prior written permission, except as permitted by law.
Third-party names and marks appearing on the Site are the property of their respective owners. Their appearance does not indicate any affiliation with, sponsorship by, or endorsement from those owners.
12. Site Availability
We do not warrant that the Site will be available, uninterrupted, timely, secure, or error-free. We may modify, suspend, or discontinue any part of the Site, including any product, feature, tool, or content, at any time and without notice.
13. Disclaimer of Warranties
To the fullest extent permitted by law, the Site and all products are provided “as is” and “as available.” We disclaim all warranties, express, implied, and statutory, including the implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.
We make no warranty that any product will be suitable for any particular experiment, protocol, application, or result, and we make no warranty regarding the accuracy, completeness, or currency of any information on the Site.
Some jurisdictions do not allow the exclusion of certain warranties. Where an exclusion is not permitted, it applies to the maximum extent the law allows.
14. Limitation of Liability
To the fullest extent permitted by law, Vytal Peptides and its owners, officers, employees, agents, affiliates, and suppliers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, research results, or business opportunity, arising out of or relating to the Site, any product, or these Terms, whether based in contract, tort, strict liability, or any other theory, and whether or not we were advised of the possibility of such damages.
Our total aggregate liability arising out of or relating to any product or order will not exceed the amount you actually paid for the product or order giving rise to the claim.
We are not liable for any injury, loss, or damage arising from administration of any product to a human or animal, which is expressly prohibited by Section 1 and Section 2, or from any use of a product outside its intended in vitro research context.
Some jurisdictions do not allow certain limitations of liability. Where a limitation is not permitted, it applies to the maximum extent the law allows.
15. Indemnification
You agree to defend, indemnify, and hold harmless Vytal Peptides and its owners, officers, employees, agents, affiliates, and suppliers from and against any claims, demands, actions, losses, liabilities, damages, judgments, penalties, costs, and expenses, including reasonable attorneys’ fees, arising out of or relating to:
- your breach of these Terms or of any representation in Section 2;
- your use, handling, storage, transfer, or disposal of any product;
- any administration of a product to a human or animal by you or by any person to whom you supplied it;
- your violation of any law, regulation, or third-party right; or
- your unauthorized resale or redistribution of any product.
16. Regulatory and Export Compliance
You are responsible for determining whether a product may lawfully be purchased, imported, possessed, transported, stored, and used in your jurisdiction, and for obtaining any licence, registration, or institutional approval required.
Requirements differ between countries, states, and institutions and change over time. We do not represent that any product is lawful or appropriate in any particular location.
You may not export or re-export any product in violation of applicable export control, sanctions, or customs laws. We are not responsible for shipments delayed, refused, seized, or destroyed by customs or other authorities.
17. Dispute Resolution, Arbitration, and Class Action Waiver
Please read this Section carefully. It affects your legal rights, including your right to file a lawsuit in court and to have a jury trial.
Informal resolution. Before starting any proceeding, you agree to contact us at info@vytal-peptides.com with a written description of the dispute and the relief sought, and to allow us sixty (60) days to resolve it informally. This is a condition precedent to arbitration.
Binding arbitration. If the dispute is not resolved informally, any dispute, claim, or controversy arising out of or relating to these Terms, the Site, or any product, including its formation, interpretation, breach, or termination, will be resolved by final and binding arbitration administered by the American Arbitration Association under its
Consumer Arbitration Rules, before a single arbitrator, seated in Sheridan County, Wyoming. Judgment on the award may be entered in any court of competent jurisdiction.
Class action waiver. You and we each agree that disputes will be brought only in an individual capacity, and not as a plaintiff or class member in any purported class, collective, consolidated, or representative proceeding. The arbitrator may not consolidate the claims of more than one person and may not preside over any form of representative proceeding. If this waiver is found unenforceable as to a particular claim, that claim will be severed and heard in court, and the remainder will proceed in arbitration.
Exceptions. Either party may bring an individual action in small claims court, and either party may seek injunctive or equitable relief in court to protect intellectual property or to prevent unauthorized access to the Site.
Opt-out. You may opt out of this arbitration agreement by sending written notice to info@vytal-peptides.com within thirty (30) days of your first order, stating your name, order number, and that you are opting out of arbitration. Opting out will not affect any other part of these Terms.
Time limit. To the extent permitted by law, any claim must be brought within one (1) year after it arises, or it is permanently barred.
18. Governing Law
These Terms and any dispute arising from them are governed by the laws of the State of Wyoming, without regard to its conflict-of-laws rules. Where arbitration does not apply, the state and federal courts located in Sheridan County, Wyoming have exclusive jurisdiction, and you consent to that jurisdiction and venue.
19. Electronic Communications
You consent to receive communications from us electronically, including by email and through the Site, and you agree that electronic notices, agreements, and records satisfy any legal requirement that such communications be in writing.
Transactional messages relating to your orders are not marketing. If you opt in to marketing email or text messages, you may withdraw consent at any time as described in our Privacy Policy. Message and data rates may apply to text messages.
20. General
Entire agreement. These Terms, together with the Privacy Policy, Shipping Policy, Refund and Returns Policy, and Research Use Disclaimer, are the entire agreement between you and us regarding the Site and your purchases, and supersede all prior agreements and understandings on that subject.
Severability. If any provision is held unenforceable, it will be modified to the minimum extent necessary or severed, and the remaining provisions will remain in full force.
No waiver. Our failure to enforce any provision is not a waiver of it.
Assignment. You may not assign these Terms without our written consent. We may assign them to an affiliate or in connection with a merger, acquisition, or sale of assets.
Force majeure. We are not liable for any failure or delay caused by events beyond our reasonable control.
Survival. Sections 1, 2, 6, 8, 9, 11, 13, 14, 15, 16, 17, 18, and 20 survive termination.
Headings. Headings are for convenience only and do not affect interpretation.
21. Changes to These Terms
We may update these Terms from time to time. The revised version will be posted here with a new Effective Date and applies to orders placed after that date. Your continued use of the Site after the Effective Date constitutes acceptance of the revised Terms.
